Please read these Terms of Service ("Terms") carefully before using the Charles application and related services (the "Services") operated by Silicon Harbor Business Services, Inc. ("Company," "we," "us," or "our").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
By creating an account, purchasing a license, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.
The Services are offered solely to individuals and entities located in the United States. By accessing or using the Services, you represent and warrant that you are located in the United States and will not access or use the Services from outside the United States.
Charles is a software application that connects payment processors (such as Stripe and Authorize.net) to QuickBooks Online. The Services facilitate the reconciliation of payment processor payouts with accounting records by:
The Services are designed to assist with bookkeeping and reconciliation tasks but do not constitute accounting, tax, or financial advice.
To use the Services, you must create an account by providing accurate and complete information. You are responsible for:
You may not share your account credentials with others or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these Terms.
Access to the Services requires a valid license. Each license corresponds to one QuickBooks Online company. All licenses are time-limited and grant access for a fixed duration only. Licenses are available as:
Licenses are non-transferable and may only be used by the account holder who purchased them. License validity begins upon first activation (connection to a QuickBooks Online company). Unused licenses do not expire until activated; however, unused licenses must be activated within a reasonable period and may be subject to expiration or revocation if the associated account is inactive or terminated.
When a license expires, all access to the Services is disabled, including Preview mode. There is no grace period, read-only access, or partial functionality after expiration. To restore access, you must purchase a new license or renew your subscription. Continued use of the Services requires an active, unexpired license at all times.
License fees are charged at the time of purchase. All fees are quoted in United States Dollars (USD).
You agree to provide accurate and complete billing information. By submitting payment information, you authorize us to charge the applicable fees to your chosen payment method.
Licenses are non-refundable. We encourage you to use the free trial to evaluate the Services before purchasing a paid license. If you experience technical issues that prevent you from using the Services, please contact us to discuss your options.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
The Services, including all software, content, trademarks, and other intellectual property, are owned by Silicon Harbor Business Services, Inc. or its licensors. These Terms do not grant you any ownership rights in the Services.
You retain ownership of your data. By using the Services, you grant us a limited license to process your data solely as necessary to provide, maintain, and improve the Services.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
You are responsible for ensuring that you have the necessary rights and permissions to provide data to the Services, including data from connected third-party platforms.
The Services integrate with third-party platforms, including QuickBooks Online, Stripe, and Authorize.net. Your use of these third-party services is subject to their respective terms and conditions.
We are not responsible for the availability, accuracy, or functionality of third-party services. Changes to third-party APIs or services may affect the functionality of the Services.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not guarantee the accuracy of any data processed through the Services.
The Services are designed to assist with reconciliation tasks but are not a substitute for professional accounting judgment. You are responsible for reviewing and verifying all outputs before relying on them for accounting or tax purposes.
During the pilot phase, the Services are provided on a best-effort basis. We do not guarantee support response times, service levels, or uptime unless otherwise agreed in writing.
EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR VIOLATIONS OF APPLICABLE LAW, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SILICON HARBOR BUSINESS SERVICES, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
SUBJECT TO THE FOREGOING CARVE-OUTS, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Silicon Harbor Business Services, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
You may stop using the Services at any time. We may suspend or terminate your access to the Services at our discretion, including if we reasonably believe you have violated these Terms.
Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) shall survive.
We may modify these Terms at any time. The "Last updated" date at the top indicates when the Terms were most recently revised. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
For material changes, we will make reasonable efforts to notify you through the Services or by email.
These Terms are governed by the laws of the State of South Carolina, United States, without regard to conflict of law principles.
Any disputes arising out of or related to these Terms or the Services shall be resolved in the state or federal courts located in Charleston County, South Carolina, and you consent to the personal jurisdiction of such courts.
